This is the End-User License Agreement presented for acceptance by the PhCNC LSSE installer.

# END-USER LICENSE AGREEMENT

## PhCNC LSSE - CAM Edition

Version 1.0 - Effective date: 12-JUN-2020

This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between the person or legal entity using the Software ("you" or "Licensee") and:

("TELENET", "we", "us" or "Licensor").

This Agreement governs your installation and use of "PhCNC LSSE - CAM Edition", including its executable files, components, optional import components, documentation and updates supplied by TELENET (collectively, the "Software").

By installing, copying, accessing or using the Software, or by selecting an acceptance button where one is presented, you confirm that you have read and accepted this Agreement.

If you are accepting this Agreement on behalf of a company or another organisation, you confirm that you are authorised to bind that entity.

If you do not agree to this Agreement, do not install or use the Software.

## 1. Product covered by this Agreement

This Agreement applies only to "PhCNC LSSE - CAM Edition", the software-licensed edition of PhCNC LSSE.

PhCNC LSSE is CAM software intended for preparation of PCB prototyping and related machining projects. It may include functions for:

* importing Gerber, ODB++, Excellon, DXF and other supported data;
* arranging, cloning and panelising projects;
* creating breakout tabs and machining geometry;
* configuring tools and machining operations;
* generating toolpaths and G-code;
* displaying, simulating and verifying generated G-code;
* saving native PhCNC project files;
* printing projects for evaluation or documentation.

The CNC workspace included in PhCNC LSSE is intended for "simulation and verification only". PhCNC LSSE does not directly control TELENET, AccurateCNC or other CNC machines.

This Agreement does not cover:

* PhCNC LSSE HD - Hardware Dongle Edition;
* full PhCNC machine-control editions;
* machine hardware, controllers or USB license dongles;
* separately supplied hardware drivers or third-party products, except where expressly stated.

## 2. Ownership

The Software is licensed, not sold.

TELENET and its licensors retain all ownership, copyright and other intellectual-property rights in the Software, its source code, object code, user interface, documentation, file-format implementations and related materials.

This Agreement grants you limited rights to use the Software. It does not transfer ownership of the Software or any TELENET intellectual property to you.

All rights not expressly granted are reserved by TELENET.

## 3. Evaluation Mode

The Software may be installed and used without a valid paid license in "Evaluation Mode".

Evaluation Mode has no fixed evaluation time limit unless a different limitation is clearly stated before installation.

Evaluation Mode may allow you to:

* import and inspect your own files;
* create, edit, arrange, clone and panelise projects;
* configure CAM operations;
* generate toolpaths and G-code in memory;
* inspect and simulate generated G-code;
* save and reopen native PhCNC project files;
* print project information for evaluation or documentation.

Evaluation Mode does not grant a right to create or extract production-use output through restricted functions.

A valid license may be required to:

* save or export G-code;
* copy G-code for use outside the Software;
* export processed or panelised Gerber data;
* export other production, machining or machine-output files;
* use any other function identified by the Software as requiring a license.

Generated G-code may remain available in memory for simulation and verification even when saving, copying or exporting it is disabled.

You must not bypass, disable or circumvent Evaluation Mode restrictions.

A malfunction, programming error or unintended method that permits access to a restricted output does not grant you a license to use that output for production.

## 4. Paid software license

After purchase and successful activation, TELENET grants you a limited, non-exclusive, perpetual license to use the licensed edition of the Software on "one Licensed Computer", subject to this Agreement.

"Perpetual" means that the license is not a subscription and does not expire solely because time has passed. It does not guarantee:

* compatibility with future versions of Windows or other software;
* future upgrades or new major versions;
* indefinite availability of activation, download or support services;
* maintenance of third-party components outside TELENET's control.

Any updates that TELENET is required to provide under mandatory applicable law remain unaffected.

The license is issued for the product edition specified in the order and does not provide rights to PhCNC LSSE HD, full PhCNC machine-control editions or other TELENET products.

## 5. Licensed Computer and activation

The paid license is bound to one computer through a hardware-derived identifier or hardware footprint.

The x86 and x64 builds may be treated as the same licensed product when used on the same Licensed Computer, subject to the technical behaviour of the activation system.

Activation may be performed:

* online, using a license or activation key; or
* offline, using a request file or request text and a signed license file.

The activation process may process information such as:

* license number or activation key;
* product edition;
* installed version and architecture;
* hardware-derived identifier;
* activation request and response identifiers;
* application and server timestamps.

The handling of such information is described in the TELENET Privacy Notice.

A material hardware change, operating-system reinstallation or replacement of the computer may cause the license to stop matching the Licensed Computer.

Unless required by mandatory law or expressly agreed by TELENET, the purchase of a license does not guarantee:

* transfer to another computer;
* replacement activation after major hardware changes;
* unlimited reactivation;
* reissue after loss of the license file or activation information.

TELENET may, at its discretion, assist with a legitimate hardware replacement after reviewing the circumstances.

## 6. Virtual machines

A paid PhCNC LSSE license may not be activated or used to unlock licensed functions inside a virtual machine, emulated computer, sandboxed virtual environment or cloud-hosted virtual desktop unless TELENET gives prior written permission.

TELENET may technically refuse online or offline activation where a virtualised environment is detected.

Evaluation Mode may be used in a virtual environment only where the Software technically permits it and subject to the remaining terms of this Agreement.

## 7. Permitted use

Subject to this Agreement, you may:

1. install and use the Software on the Licensed Computer;
2. use the Software for personal, educational, internal business or commercial CAM work;
3. create and use production files generated through properly licensed export functions;
4. make a backup copy where reasonably necessary for lawful use;
5. make copies of your own native project files and generated output;
6. observe, study or test the functioning of the Software to the extent permitted by applicable law;
7. use output generated from your own or properly licensed input data.

You remain responsible for obtaining all necessary rights to files, designs, fonts, images, logos and other content imported into the Software.

TELENET does not acquire ownership of your project files or the production output created from them.

## 8. Prohibited use

Except where mandatory law expressly permits otherwise, you must not:

1. copy or distribute the Software except as expressly permitted by this Agreement;
2. provide the Software, activation key or license file to another person;
3. use one license concurrently on more than one computer;
4. publish, sell, rent, lease, sublicense or commercially host the Software;
5. share the Software through a remote-access, terminal-server or cloud service for use by multiple users or computers;
6. remove or alter copyright, trademark, license or attribution notices;
7. bypass activation, Evaluation Mode restrictions or license checks;
8. alter, forge, clone or reproduce a license file or activation response;
9. use another customer's license, key or hardware footprint;
10. interfere with update-check, activation or license-status communications;
11. use automated tools to extract restricted production output from Evaluation Mode;
12. reverse engineer, decompile or disassemble the Software except to the limited extent expressly permitted by mandatory applicable law;
13. use information obtained through lawful interoperability analysis for any purpose other than achieving lawful interoperability;
14. use the Software or its outputs in violation of applicable export-control, sanctions or other laws.

Nothing in this Agreement prohibits acts that cannot lawfully be prohibited, including applicable statutory rights relating to backup copies, observation or testing, error correction or interoperability.

## 9. Transfer and assignment

The license is issued to the original Licensee and is normally associated with the original Licensed Computer.

You may not assign, sublicense or transfer this Agreement, the activation key or the license file without TELENET's prior written consent, except where and to the extent that a transfer right is granted by mandatory applicable law.

For any legally permitted permanent transfer:

* you must transfer the entire eligible license;
* you must stop using the Software;
* you must remove all installed and backup copies under your control;
* you must not retain or reuse the activation key or license file;
* the recipient must accept this Agreement;
* the license must not be divided between multiple recipients or computers.

TELENET is not required to provide a new activation, hardware transfer or replacement license file unless required by applicable law or expressly agreed in writing.

## 10. Updates and new versions

TELENET may provide corrections, maintenance releases, updated installers or new versions.

An update may:

* replace or modify existing files;
* correct defects or security issues;
* add, remove or change functions;
* change supported Windows versions;
* discontinue obsolete components;
* require acceptance of updated terms where legally appropriate.

Updates supplied as part of the licensed product are governed by this Agreement unless accompanied by separate terms.

A perpetual license does not automatically include all future paid upgrades or new major editions.

Nothing in this section limits any update or conformity obligation imposed by mandatory consumer law.

## 11. Check for updates and license status

When you explicitly use "Check for updates", the Software may contact a TELENET server and transmit information necessary to identify:

* the product edition;
* x86 or x64 architecture;
* installed version and build;
* license number;
* normal connection information recorded by the server.

The server may return:

* whether a newer public version is available;
* the applicable download page;
* the administrative status of the license.

The Software does not require a successful update check merely to continue ordinary offline licensed use, except where stated for a particular service or required by law.

TELENET may mark a license as blocked, suspended or revoked only for a legitimate reason, including:

* refund or payment reversal;
* chargeback;
* fraud or use of false purchasing information;
* duplicated, shared, forged or altered licensing data;
* material breach of this Agreement;
* use prohibited by applicable sanctions or export-control law;
* a binding legal or regulatory requirement;
* an administrative error requiring correction.

TELENET will not intentionally block a license solely because of a temporary server error, failed network connection or an automatically inferred IP location.

Where the Software receives a valid, cryptographically authenticated blocked-license response, it may disable the paid license and remove or invalidate the local license file.

Where reasonably possible and legally permitted, TELENET will provide a way to contact support and request review of the license status.

## 12. User projects and output

You retain your rights in the original files, designs and other materials that you import into the Software.

Subject to your rights in the input materials and any applicable third-party rights, you may use production output generated through licensed functions for personal or commercial purposes.

TELENET does not guarantee that:

* imported data accurately represents the source design;
* all unsupported or non-standard file constructs will be interpreted correctly;
* generated toolpaths are suitable for a particular machine, tool, material or process;
* simulation will detect every possible machining problem;
* third-party software will interpret exported files identically.

You must independently verify all generated output before using it for production.

## 13. CAM and machining safety

PhCNC LSSE is an engineering tool. Its output can cause physical machine movement when loaded into separate CNC control software or a CNC machine.

Before using any output for machining, you are responsible for checking:

* dimensions and units;
* coordinate systems and origin;
* layer orientation and mirroring;
* tool numbers and tool diameters;
* cutting depths;
* spindle speed and feed rate;
* tool compensation;
* machining order;
* board and workpiece placement;
* clamps, vacuum fixtures and collision risks;
* the compatibility of the G-code with the intended controller and machine.

Simulation is an aid to verification and is not a guarantee that machining will be safe, collision-free or correct.

Do not rely on the Software as the sole safety mechanism for a machine.

The machine operator remains responsible for machine setup, guarding, emergency-stop systems, supervision and compliance with applicable workplace and machinery-safety requirements.

The Software is not designed or certified for use in systems where an error could directly cause death, personal injury or catastrophic property or environmental damage.

## 14. Optional printer-import component

The Software may include or support an optional Windows printer-import component that converts printable output from another application into geometry that can be imported into PhCNC LSSE.

Results may vary depending on:

* the source application;
* fonts and graphics;
* printer settings;
* scaling;
* Windows printing components;
* the operating-system version.

You are responsible for verifying dimensions, scaling and geometry before using imported printer output in a project.

The optional printer-import component may require administrator rights and may not be included in every distribution channel or installer.

## 15. Third-party components

The Software may include or interact with third-party libraries, Windows components, file formats or open-source software.

Third-party components may be governed by separate license notices. Where those terms apply, they take precedence for the relevant component.

This Agreement does not grant rights to third-party software, designs, fonts, trademarks or other content beyond the rights that their respective owners provide.

## 16. Privacy

TELENET processes personal and technical information in accordance with its current Privacy Notice, available on the TELENET website.

The Privacy Notice describes information related to:

* purchases and payment confirmation;
* online and offline activation;
* license administration;
* update checks;
* server security logs;
* support communications.

This Agreement does not replace the Privacy Notice.

## 17. Support

Unless a separate written support or maintenance agreement states otherwise:

* no guaranteed response time applies;
* support is provided subject to availability;
* support may be limited to the current public version;
* TELENET is not required to support modified, obsolete or unsupported environments;
* TELENET may request diagnostic information reasonably necessary to investigate a problem.

Support does not include design validation, machine-operation supervision or responsibility for your production results.

## 18. Conformity and warranties

TELENET warrants that it has the right to license the Software.

For consumers, all mandatory statutory rights relating to digital content, conformity, remedies and updates remain fully applicable and are not excluded or reduced by this Agreement.

Subject to those mandatory rights, TELENET does not warrant that the Software will:

* be entirely free of defects;
* operate without interruption;
* satisfy every individual requirement;
* support every file produced by third-party applications;
* remain compatible with every future operating system;
* produce a correct manufacturing result without user verification.

For business Licensees, and to the maximum extent permitted by law, the Software is supplied on an "as available" basis and all implied warranties not expressly stated in this Agreement are excluded.

## 19. Limitation of liability

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for intentional misconduct, fraud, death or personal injury where applicable, or mandatory consumer remedies.

TELENET is not responsible for loss or damage caused by:

* incorrect source files or user-entered data;
* incorrect tool, machine or process settings;
* failure to verify generated output;
* use of output with an incompatible controller or machine;
* unauthorised modification of the Software;
* use outside the documented or intended purpose;
* third-party software, hardware, drivers or services;
* failure to maintain adequate backups;
* continued use after a clear warning or detected error.

For business Licensees, to the maximum extent permitted by law:

1. TELENET is not liable for indirect, incidental, special or consequential loss, including loss of profit, production, contracts, business opportunity or data.
2. TELENET's aggregate liability arising from the Software or this Agreement is limited to the amount paid for the affected PhCNC LSSE license.
3. The limitation does not apply where liability cannot legally be limited.

Consumer liability is governed by mandatory applicable consumer law.

## 20. Termination

This Agreement remains in effect until terminated.

You may terminate it at any time by:

* stopping all use of the Software;
* uninstalling it;
* deleting copies under your control;
* ceasing use of the activation key and license file.

TELENET may terminate or suspend the license if you materially breach this Agreement and, where the breach can be remedied, fail to remedy it within a reasonable period after notice.

Immediate suspension or termination may occur where reasonably necessary because of:

* fraud;
* forged or duplicated licensing data;
* chargeback or refund;
* unlawful use;
* sanctions or export-control requirements;
* a serious threat to the licensing or security system.

Upon termination, your right to use licensed functions ends. Evaluation Mode may remain available unless TELENET is legally or technically required to block all use.

Termination does not affect rights or obligations that by their nature should survive, including intellectual-property rights, payment obligations, limitations of liability and dispute provisions.

## 21. Terms of Sale and refunds

This EULA governs use of the Software.

The purchase, price, taxes, digital delivery, withdrawal rights, refunds and payment processing are governed by the Terms of Sale and Refund Policy presented during checkout.

If there is a conflict:

* this EULA governs use of the Software;
* the Terms of Sale govern the purchase transaction;
* mandatory applicable law prevails over both.

## 22. Export controls and restricted destinations

You must comply with applicable export-control, sanctions and trade-restriction laws.

You must not activate, transfer, export or make the Software available where doing so would violate applicable law or a binding restriction applicable to TELENET.

TELENET may refuse a sale, activation, support action or license service where required for legal compliance.

Automatic geolocation alone does not constitute a final determination that a Licensee has violated this section.

## 23. Governing law and disputes

This Agreement is governed by the laws of the Republic of Bulgaria, without regard to conflict-of-law rules.

If you are a consumer, this choice of law does not deprive you of mandatory protections granted by the law of the country in which you habitually reside.

For business Licensees, disputes arising from this Agreement shall be submitted to the competent courts in Varna, Bulgaria, unless the parties agree otherwise in writing.

For consumers, jurisdiction is determined by mandatory applicable law.

Before commencing formal proceedings, the parties should attempt in good faith to resolve the matter through direct written communication.

## 24. General provisions

### Entire agreement

This Agreement, together with the applicable Terms of Sale, Privacy Notice and any expressly incorporated product terms, forms the agreement governing your use and purchase of the Software.

### Severability

If any provision is held invalid or unenforceable, the remaining provisions remain effective. The invalid provision shall be interpreted or replaced as closely as legally possible to its original purpose.

### No waiver

Failure by either party to enforce a provision does not waive the right to enforce it later.

### Changes

TELENET may issue a revised EULA for a future version or update.

A revision will not retroactively remove acquired rights without a lawful basis. Where acceptance is legally required, the revised terms will apply only after they are presented and accepted.

### Headings

Section headings are provided for convenience and do not alter the meaning of this Agreement.

## 26. Acceptance

By installing, accessing or using PhCNC LSSE, you acknowledge that:

* you have read this Agreement;
* you understand the distinction between Evaluation Mode and Licensed Mode;
* you understand that PhCNC LSSE provides CAM preparation and CNC simulation but not direct CNC machine control;
* you accept responsibility for verifying all generated production output;
* you agree to be bound by this Agreement.
